About the Webinar

Extracting the proceeds from the sale of a business or significant asset from an entity can require a different level of thinking to that required for the usual ongoing withdrawal of normal operating profits. This session explores the options, including:

  • Options available if the asset is a pre CGT asset and how to ensure it actually is
  • The pros and cons of:
    • retaining the entity or winding it up after a significant one off sale
    • putting the funds into a new structure
  • Analysing the availability and use of franking credit entitlements in the decision making
  • How use of the CGT small business concessions impact on the extraction of funds from a significant CGT event in:
    • a company
    • a unit trust
    • a discretionary trust
  • If winding up, a comparison of the tax impact of liquidation versus deregistration
  • How earnout arrangements can impact on the tax treatment of extracting the proceeds (TR 2007/D10)

Kate joined the Cleary Hoare team in October 2017 and is based in our Sydney office. She recently completed a combined Bachelor of Laws (Honours) / Bachelor of Commerce (Accounting) at the University of Notre Dame Australia and was admitted as a Solicitor in New South Wales in 2019.

Kate has a strong interest in taxation law, having written her Honours thesis on the recently introduced diverted profits tax. During her time at Cleary Hoare, Kate has enjoyed tackling a wide range of complex taxation issues.

In her spare time, Kate enjoys singing, attending sporting matches and cooking up a storm.
